Terms of Service

By accessing, browsing, or otherwise using the ForezynPlan platform, website, APIs, or any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to such entity. If you do not have such authority, or if you do not agree to all of these Terms, you must not access or use the Service.

ForezynPlan reserves the right to update these Terms at any time. Continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

ForezynPlan provides a cloud-based financial planning and cash-flow forecasting platform designed to help businesses, finance teams, and founders model financial scenarios, project future cash positions, and make data-driven decisions ("Service").

The Service includes, without limitation, cash-flow forecasting tools, scenario modelling, integrations with third-party accounting and banking systems, reporting dashboards, collaboration features, and any related software, APIs, documentation, and support offerings.

ForezynPlan may, at its sole discretion, add, modify, suspend, or discontinue any feature or component of the Service with reasonable notice, except where changes are required immediately for legal, security, or operational reasons.

To access certain features of the Service, you must create an account by providing accurate, complete, and current information. You agree to maintain and promptly update your account information to keep it accurate and complete.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication codes. You agree to accept full responsibility for all activities that occur under your account, whether or not authorised by you.

You must immediately notify ForezynPlan at security@forezynplan.com upon becoming aware of any actual or suspected unauthorised access to, or use of, your account. ForezynPlan shall not be liable for any losses arising from unauthorised use of your account that result from your failure to adequately protect your credentials.

You may not share account credentials with other individuals. Each user must have their own account. Organisational accounts may add team members through the designated multi-user or team features available on eligible subscription plans.

ForezynPlan offers both free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in United States Dollars (USD) unless otherwise specified.

All payments are non-refundable except as expressly provided in these Terms or as required by applicable law. Notwithstanding the foregoing, ForezynPlan offers a 30-day money-back guarantee on initial purchases of paid plans. Refund requests must be submitted within 30 days of the initial subscription date and are subject to review.

ForezynPlan reserves the right to change pricing at any time. For existing subscribers, price changes will be communicated with at least 30 days' prior written notice via email or in-platform notification. Your continued use of the Service following the effective date of a price change constitutes your acceptance of the new pricing.

Failure to pay applicable fees may result in suspension or termination of your access to the Service. Overdue balances are subject to interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.

ForezynPlan may, at its sole discretion, offer a free trial period for paid subscription plans ("Free Trial"). Free Trials are available to new customers only and may not be combined with any other promotional offer unless expressly stated. ForezynPlan reserves the right to determine your eligibility for a Free Trial and to withdraw or modify a Free Trial at any time without prior notice.

At the conclusion of the Free Trial period, your access to paid features will be suspended unless you provide valid payment details and elect to continue with a paid plan. ForezynPlan will not charge you for the Free Trial period. Any data and configurations created during the Free Trial will be retained and accessible if you convert to a paid plan within 30 days of the trial expiry.

From time to time, ForezynPlan may offer access to features, products, or services that are in pre-release, beta, or early-access stages ("Beta Services"). Beta Services are provided "as is" without any warranty or support commitments, are not subject to any service-level agreement, and may be discontinued at any time without notice. You acknowledge that Beta Services may contain errors, bugs, or other limitations, and you agree not to rely on Beta Services for production or business-critical purposes.

Feedback you provide regarding Free Trials or Beta Services is subject to Section 8 (Feedback & Suggestions) of these Terms.

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not:

(a) use the Service in any manner that violates any applicable federal, state, local, or international law or regulation; (b) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by ForezynPlan, may harm ForezynPlan or users of the Service or expose them to liability; (c) transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material; (d) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (e) engage in any automated use of the Service, such as using scripts to send messages or scrape data, without ForezynPlan's express written consent; (f) attempt to gain unauthorised access to any part of the Service, or any server, computer, or database connected to the Service; (g) introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

ForezynPlan reserves the right to investigate and take appropriate legal action against anyone who, in ForezynPlan's sole discretion, violates this provision, including without limitation reporting such violations to law enforcement authorities.

The Service and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are owned by ForezynPlan, its licensors, or other providers of such material and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not transfer to you any intellectual property owned by ForezynPlan or third parties, and all right, title, and interest in and to such property will remain solely with ForezynPlan. ForezynPlan's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ForezynPlan. You must not use such marks without the prior written permission of ForezynPlan.

You retain full ownership of all data, information, and content that you submit, upload, or otherwise make available through the Service ("Your Data"). By providing Your Data, you grant ForezynPlan a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and display Your Data solely to the extent necessary to provide the Service to you.

We welcome and encourage you to provide feedback, comments, ideas, improvements, and suggestions regarding the Service ("Feedback"). You may submit Feedback via in-platform tools, support channels, surveys, or direct correspondence with our team.

By submitting any Feedback, you hereby irrevocably assign and transfer to ForezynPlan all right, title, and interest in and to such Feedback, including all intellectual property rights therein. ForezynPlan shall be free to use, disclose, reproduce, license, distribute, and otherwise exploit such Feedback without any restriction or obligation of confidentiality, attribution, or compensation to you.

You represent and warrant that: (a) you have the right to submit the Feedback; (b) the Feedback does not infringe or misappropriate any third-party intellectual property rights; and (c) the Feedback does not contain any information that you are not permitted to disclose. ForezynPlan is under no obligation to act upon, implement, or respond to any Feedback you provide.

Your use of the Service is also governed by our Privacy Policy, available at forezynplan.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

ForezynPlan processes certain personal data on your behalf in the course of providing the Service. To the extent that such processing is subject to applicable data protection legislation (including the General Data Protection Regulation ("GDPR") or the California Consumer Privacy Act ("CCPA")), the parties agree that ForezynPlan acts as a data processor and you act as the data controller with respect to any personal data submitted through the Service.

ForezynPlan implements and maintains commercially reasonable administrative, technical, and physical security measures designed to protect Your Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access. These measures include, but are not limited to, encryption of data at rest and in transit, role-based access controls, and regular security assessments.

ForezynPlan will not sell, rent, or otherwise disclose Your Data to third parties for their own marketing or advertising purposes.

The Service may integrate with or provide links to third-party platforms, services, and applications (e.g., accounting software, banking APIs, and productivity tools). These integrations are provided for your convenience and are subject to the third party's own terms of service and privacy policies.

ForezynPlan does not endorse, control, or assume responsibility for the availability, accuracy, or content of any third-party services. Your use of third-party integrations is at your own risk, and you agree that ForezynPlan shall not be liable for any loss or damage arising from your dealings with any third party.

If you choose to enable a third-party integration, you grant ForezynPlan permission to access and use your data held by that third party, to the extent necessary to provide the integration and the Service to you.

Each party may have access to confidential information of the other party in connection with these Terms ("Confidential Information"). Confidential Information includes, without limitation, financial data, business plans, technical information, pricing, and any other information designated as confidential.

Each party agrees to: (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); (b) not disclose such Confidential Information to any third party without the other party's prior written consent; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms.

These obligations do not apply to information that: (i) becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party without restriction at the time of disclosure; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law or court order, provided the receiving party gives prompt prior written notice to the disclosing party.

By creating an account or using the Service, you consent to receive electronic communications from ForezynPlan. These communications may include transactional messages (such as account activity notifications, invoices, and security alerts), product and feature updates, and — where you have opted in — marketing and promotional materials.

Transactional and security-related communications are necessary for the operation of the Service and cannot be opted out of while your account remains active. You may opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email, or by updating your notification preferences in your account settings. Opting out of marketing communications will not affect the delivery of transactional messages.

For the purposes of these Terms, any notice, agreement, disclosure, or other communication that ForezynPlan provides to you electronically (via email, in-platform notification, or posting to the Service) will satisfy any legal requirement that such communication be in writing, to the maximum extent permitted by applicable law.

Notices from you to ForezynPlan must be sent in writing to legal@forezynplan.com or to our registered address provided on our Contact page. A notice will be deemed received by ForezynPlan on the next business day following confirmed transmission. ForezynPlan may change its notice address from time to time by updating these Terms or by notifying you via the Service.

You agree to defend, indemnify, and hold harmless ForezynPlan and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) Your Data; (d) your violation of any third party's rights; or (e) your violation of any applicable law.

These Terms commence on the date you first access or use the Service and continue until terminated. You may terminate your account at any time by contacting us at support@forezynplan.com or through the account settings in the Service. Termination of a paid subscription will take effect at the end of the then-current billing period.

ForezynPlan may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to if you breach any provision of these Terms, engage in conduct that ForezynPlan determines, in its sole discretion, is harmful to other users, ForezynPlan, or third parties, or if ForezynPlan is required to do so by law.

Upon termination: (a) your right to access and use the Service will immediately cease; (b) ForezynPlan will make Your Data available for export for a period of 30 days following termination, after which ForezynPlan may delete Your Data in accordance with its data retention policies; (c) all provisions of these Terms which by their nature should survive termination — including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive.

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Notwithstanding the foregoing, ForezynPlan may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Forms or Statements of Work, constitute the entire agreement between you and ForezynPlan regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

Waiver. The failure of ForezynPlan to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of ForezynPlan.

Assignment. You may not assign or transfer your rights or obligations under these Terms without ForezynPlan's prior written consent. ForezynPlan may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. ForezynPlan shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.
